Draft for review. This page is a template and has not been reviewed by a lawyer. Bracketed fields are placeholders.

Please read these terms carefully. They explain what you can expect from Macro, what we expect from you, and the limits of what the Service is for.

1.Agreement to these terms

These Terms of Service (“Terms”) are an agreement between you and [COMPANY LEGAL NAME] (ABN [ABN]) (“Macro”, “we”, “us”). They govern your access to and use of the Macro website, web application, AI research agents and related services (the “Service”).

By creating an account or using the Service you agree to these Terms, our Privacy Policy and our Disclosures. If you do not agree, do not use the Service.

2.Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an organisation, you confirm you are authorised to accept these Terms for it.

3.Not financial advice

Macro is a research and information tool. We do not provide personal financial, investment, legal or tax advice, and nothing in the Service is a recommendation or offer to buy, sell or hold any security.

Any information in the Service is general in nature and does not take into account your objectives, financial situation or needs. Before acting on any information you should consider its appropriateness to you and, where appropriate, seek advice from a licensed financial adviser. You are solely responsible for your investment decisions. See our Disclosures for more detail.

4.Your account

  • You must give accurate information when you sign up and keep it up to date.
  • You are responsible for keeping your login credentials secure and for all activity under your account.
  • Tell us promptly at [SUPPORT EMAIL] if you suspect unauthorised access.
  • Accounts are personal and may not be shared, sold or transferred.

5.AI agents and generated content

The Service uses large language models and automated agents to research, summarise and comment on securities (“AI Output”). AI Output is generated automatically, may be inaccurate, incomplete, out of date or inconsistent, and may describe events or figures that are wrong. It is not reviewed by a human before you see it.

You should independently verify any AI Output before relying on it. Conviction scores, theses, baskets and similar features are illustrative research aids, not ratings, forecasts or recommendations.

6.Your content

You keep ownership of the content you put into the Service, such as theses, prompts, notes and watchlists (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free licence to host, process and display Your Content only as needed to operate, secure and improve the Service for you.

You confirm you have the rights to Your Content and that it does not break the law or anyone else’s rights. We do not use Your Content to train third-party AI models [CONFIRM WITH AI PROVIDER TERMS].

7.Acceptable use

You agree not to:

  • scrape, copy, redistribute, resell or publicly display market data or AI Output, except for personal, non-commercial use;
  • use automated tools to access the Service beyond the normal app interface;
  • reverse engineer, decompile or attempt to extract source code or model prompts from the Service;
  • interfere with, overload or attempt to breach the security of the Service;
  • use the Service for market manipulation, insider trading or any other unlawful activity;
  • use the Service to build a competing product.

8.Market data and third-party content

Market data, news, filings and social content in the Service come from third parties, including [MARKET DATA PROVIDERS]. This content may be delayed, inaccurate or unavailable and is provided without warranty. Exchanges and data providers may impose their own terms, which you agree to follow. Links to third-party sites are for convenience and are not endorsements.

9.Plans, fees and billing

[IF PAID PLANS: describe plans, billing cycle, auto-renewal, how to cancel, refund policy, price changes with notice, and taxes. IF FREE FOR NOW: state the Service is currently free and that we will give notice before introducing fees.]

Payments are handled by our payment processor [PAYMENT PROCESSOR]. We do not store full card details.

10.Changes to the Service

The Service is under active development. We may add, change or remove features, including beta features that may be less reliable, at any time. We will try to give reasonable notice of changes that materially reduce what you have paid for.

11.Intellectual property

The Service, including its software, design, text, graphics and the Macro name and logo, is owned by us or our licensors and protected by law. Apart from the limited right to use the Service under these Terms, you get no rights in it. If you send us feedback, we may use it without obligation to you.

12.Suspension and termination

You can stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. Sections that by their nature should survive termination (including disclaimers, limitation of liability and governing law) will survive.

13.Disclaimers

To the extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, including warranties of accuracy, fitness for a particular purpose or uninterrupted availability.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or other law that cannot lawfully be excluded.

14.Limitation of liability

To the extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss, or for any loss of profits, trading losses, or loss of data, arising from your use of the Service or reliance on any information in it.

To the extent permitted by law, our total liability to you for all claims relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and [AMOUNT, e.g. AUD $100]. Where our liability for breach of a non-excludable consumer guarantee can be limited, it is limited to resupplying the services or paying the cost of having them resupplied.

15.Indemnity

You agree to indemnify us against claims, losses and costs arising from your breach of these Terms or your misuse of the Service, except to the extent caused by our own fault.

16.Governing law

These Terms are governed by the laws of [STATE, e.g. New South Wales], Australia. You and we submit to the non-exclusive jurisdiction of the courts there.

17.Changes to these terms

We may update these Terms from time to time. We will post the new version here with a new “last updated” date and, for material changes, notify you by email or in the app. Continuing to use the Service after changes take effect means you accept them.
